Terms of Use

The California Chamber of Commerce ("CalChamber") owns, operates and maintains the following Web sites: CalChamber.com, advocacy.calchamber.com, store.calchamber.com, and HRCalifornia.calchamber.com, hereinafter referred to as "Web sites." The Web sites, all of the pages and screens on the Web sites, including the content contained therein and any accompanying documents, are owned and controlled or licensed by CalChamber, except as otherwise expressly stated, and are protected by U.S. copyright and other intellectual property laws and treaties. CalChamber owns the title, copyright, and other intellectual property rights in the Web sites.

You certify that you are an authorized agent or representative of your company, if applicable, and are authorized to enter into this agreement. This License Agreement ("Agreement") is a legal agreement between you (either as an individual or on behalf of a company) and CalChamber for the access and use of the Web sites. By clicking "ACCEPT," indicating acceptance electronically, accessing or using the Web sites, you agree to these terms. If you do not agree to the terms of this Agreement, then do not indicate acceptance of the Agreement and/or do not use the Web sites.

License Agreement

CalChamber grants you a nonexclusive, non-assignable, nontransferable, revocable, limited license to access and use the Web sites and content contained therein only for internal business purposes.

Subscribers and members are further granted the right to access username and password-protected Web pages and content. The transfer or assignment of the subscriber and/or member's username/password, in any form, to any third-party, including without limitation other employees or subcontractors who do not have CalChamber's express permission is strictly prohibited. You are responsible for securely managing your password and are responsible for all activities that occur under your account. If you become aware of any unauthorized access to your account, theft or loss of your password, you agree to contact CalChamber as soon as possible. If our technical staff suspects a password is being used by someone who is not authorized, we may temporarily disable that user’s access in order to preserve system security.

CalChamber reserves the right to revoke the license conferred herein at any time without warning and without cause. CalChamber reserves all other rights in the Web sites not granted herein.

You agree not to use the Web sites in a manner that violates any applicable law, regulation or this Agreement.

Limited Warranty and Disclaimer

The Web sites are offered on an "AS IS" basis. CalChamber makes no warranty or representation, either express or implied, with respect to the Web sites or the content contained therein, including their quality, performance, accuracy, merchantability or fitness for a particular purpose. CalChamber does not warrant that the Web sites are error or virus free and makes no representation or warranty as to the speed or performance of the Web sites. CalChamber does not guarantee uninterrupted access to the Web sites.

The information contained on the Web sites is being provided by CalChamber as a service to the business community. Although every effort is made to ensure the accuracy and completeness of this information, CalChamber and its employees, contributors and reviewers are not responsible for any errors or omissions, nor for any governmental agency's/court’s interpretations, applications and/or changes of statutes/regulations described herein.

The Web sites are designed to provide accurate and authoritative information in a highly summarized manner concerning the subject matter covered. They are provided with the understanding that CalChamber and others associated with it are not engaged in rendering legal, technical or other professional advice or service. If legal and other expert assistance is required, the services of competent professionals should be sought.

Limitation of Liability

In no event will CalChamber be liable to you, or any member or subscriber, whether in contract or in tort or under any other legal theory (including, without limitation, strict liability and negligence) for lost profits or revenues, loss or interruption of use, or any other economic loss, or for any indirect, special, incidental, consequential or similar damages, arising out of or in connection with the performance or non-performance of the Web sites and this Agreement, or for any claim made against any user, including without limitation, a member or subscriber, by any other party.

In no event will CalChamber's total liability under any claim made by a member or a subscriber exceed the cost of a one-year membership or subscription paid by the member or subscriber at the time the alleged conduct occurred. For all other users, in no event will CalChamber's total liability under any claim exceed the cost of a one-year subscription to the Web sites published at the time the alleged conduct occurred.

Permission

Unless expressly stated otherwise, all of the content and graphics contained on the Web sites are protected by U.S. copyright and international treaties and may not be copied, reproduced, republished or distributed without the express permission of CalChamber. Copying, displaying, distributing, transferring, linking to, reproducing, licensing, altering, creating derivative works of or republishing all or any portion of the Web sites for any commercial or public purpose without CalChamber's permission is strictly prohibited. CalChamber does not allow reproduction of the content and graphics contained on the Web sites, unless the content is expressly labeled with a grant of permission to reproduce and the content is presented in its original state with reference to CalChamber. Reuse is permitted for current members solely for noncommercial, internal purposes.

Policy Guidelines for Editorial Content

CalChamber is committed to a policy of editorial neutrality. Although the content on the Web sites contain information about state and federal laws and regulations, the content is not intended to serve as legal advice.

Content from External Sources and Links to External Sites

The Web sites may contain content from and links to external Web sites controlled or offered by third parties unaffiliated with CalChamber. Content from external sources will be identified when the information is not generated by CalChamber. Links to external sites do not constitute an endorsement of the linked content, and CalChamber does not guarantee the accuracy of the linked content.

CalChamber hereby disclaims liability for the content, products, privacy policies or security of a third party's Web site. Any advice, opinions or recommendations provided by a linked Web site are those of the third party and not of CalChamber. Participation in any linked Web site, including payment for and the delivery of goods or services, is based solely on the agreement, if any, between you and the third party.

Corrections and Clarifications

CalChamber is committed to correcting any factual errors or errors in interpretation. Editorial staff will address any errors brought to their attention and make appropriate corrections in a timely manner.

Forum Guidelines

The Web sites may contain forums intended for subscribers and/or members to discuss issues with their peers. These forums are not moderated or reviewed by CalChamber for accuracy or completeness, nor does CalChamber respond to or offer any commentary to the forum discussions. Therefore, CalChamber cannot be responsible for the accuracy of any statements, comments, opinions or interpretations published or made in the forums.

The forums are provided with the understanding that CalChamber and others associated with CalChamber are not engaged in rendering legal, technical or other professional service. If legal and other expert assistance is required, the services of competent professionals should be sought.

Privacy Policy

You agree to be bound by the Privacy Policy, subject to change in accordance with its terms.

Governing Law

This License Agreement shall be governed by the laws of the State of California.

Severability

If any one or more of the provisions contained in this Agreement is, for any reason, held to be invalid, illegal or unenforceable in any respect, then to the maximum extent permitted by law, the invalidity, illegality or unenforceability will not affect any other provision of this Agreement.

Changes to this Agreement

We may change this Agreement from time to time, and the changes will be effective when posted on the Web sites. Please review the Agreement periodically on the Web sites for changes. Your continued access or use of the Web sites indicates your acceptance to the changes.

No Waiver

No failure or delay in exercising any right hereunder will operate as a waiver thereof, nor will any partial exercise of any right or power hereunder preclude further exercise. Any waivers or amendments shall be effective only if made in writing.

Civil Code Section 1789.3 Notice
